1. Acceptance & parties
These Terms of Service (“Terms”) govern access to and use of the Celper AI platform and website (the “Service”), operated by Vizionieriai, MB, company code 307193245, registered at Girulių g. 10, LT-12112 Vilnius, Lithuania (“Celper”, “we”). By creating an account, signing an order form, or using the Service, you (“Customer”, “you”) agree to these Terms on behalf of the organization you represent.
2. Definitions
- Candidate — a person whose data is processed through the Service in a recruitment process run by the Customer.
- Credit — one prepaid unit entitling the Customer to one completed AI interview (phone or avatar).
- Customer Data — data submitted to the Service by or on behalf of the Customer, including Candidate data.
- DPA — the Data Processing Agreement executed between Celper and the Customer.
3. Service description
Celper automates first-stage recruitment: AI-led phone and avatar interviews, CV screening, candidate data management, explainable scoring reports, and an HR dashboard. The Service assists human decision-making; it does not make hiring decisions (see Section 10).
4. Accounts & eligibility
The Service is offered to businesses and organizations, not consumers. You must provide accurate account information, keep credentials secure, and ensure that everyone using your account is authorized to act for your organization. You are responsible for activity under your account.
5. Acceptable use
You agree not to: (a) use the Service for any purpose other than legitimate recruitment; (b) upload unlawful content or data you have no right to process; (c) attempt to probe, disrupt, or reverse-engineer the Service; (d) use the Service to discriminate against candidates on grounds protected by applicable law; or (e) resell access without a written agreement with Celper.
6. Customer responsibilities
As the data controller, you are responsible for: (a) having a lawful basis for processing Candidate data; (b) informing Candidates that AI is used in the first interview round and providing required transparency notices; (c) the accuracy of role criteria you configure; and (d) reviewing AI analyses before any decision affecting a Candidate is made.
7. Fees, credits, billing & refunds
Plans are volume-based: each plan includes a monthly credit allowance, and additional usage is billed at the plan’s per-interview rate. Fees are stated in EUR and exclude VAT. Subscriptions renew automatically each billing cycle until cancelled; cancellation takes effect at the end of the current cycle. Except where required by law, fees already paid are non-refundable; unused monthly credits roll over per your plan’s terms.
8. Intellectual property
Celper retains all rights in the Service, its software, models’ configurations, and branding. You retain all rights in Customer Data. You grant Celper a limited license to process Customer Data solely to provide the Service. Reports generated for you may be used by you freely within your organization.
9. Data processing
Processing of personal data is governed by our Privacy Policy and the DPA executed with every customer. Candidate data is stored in the EU, encrypted in transit and at rest, and automatically deleted 12 months after collection unless you delete it sooner.
10. Human-in-the-loop — no automated final decisions
The Service is designed so that no Candidate can be given a final status (such as Selected or Rejected) until a human has reviewed the AI’s analysis. This implements GDPR Article 22 and the human-oversight requirements of EU AI Act Article 14. You agree not to circumvent this safeguard.
11. Warranties & disclaimers
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” without warranties of any kind. AI-generated scores and summaries are decision support — we do not warrant that they are free of error, and they must not be treated as a final assessment of any Candidate.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and Celper’s aggregate liability under these Terms is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for willful misconduct, gross negligence, or anything that cannot be limited under applicable law.
13. Term & termination
Either party may terminate for material breach not cured within 30 days of notice. Upon termination, your access ends and Customer Data is deleted or returned in line with the DPA — at the latest, candidate data is removed by the standard 12-month auto-deletion schedule.
14. Governing law & disputes
These Terms are governed by the laws of the Republic of Lithuania and applicable European Union law. Disputes are subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania, unless mandatory law provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to account owners at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
